Directors to Change

Tokyo, February 17, 2005 – Based on decisions made at the Board Meeting held today, Kawasaki Heavy Industries, Ltd. (the "Company") today announced that effective April 1, 2005, the following representative directors will be appointed the following positions.

The Board of Directors of the Company also decided at its meeting held today that effective in late June 2005, the following representative directors will be appointed the following positions and the following directors will resign subject to the approval at the Shareholders’ General Meeting to be held in late June 2005. At this meeting, the Company will propose that Jiroh Noguchi and Masashi Segawa, currently executive officers, be elected as new directors.
